MetalMiner Self-Serve Terms of Service
Effective date: July 8, 2026 · Version: 2026-07-08
These Terms of Service ("Terms") are a binding agreement between Alpha Commodities Inc. d/b/a MetalMiner, a Delaware corporation with offices at PO Box 3009, Gary, IN 46403 ("MetalMiner," "we," "us"), and the individual who creates an account ("you"). These Terms govern your access to and use of MetalMiner's self-serve products and services.
By checking "I agree" when you create an account, or by accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not create an account or use the Services.
If you are entering into these Terms on behalf of a company or other organization, or if your organization has signed a separate written agreement with MetalMiner (an "Order Form"), that written agreement — not these self-serve Terms — governs your use, and you should register through your organization instead of the self-serve signup.
1. Definitions
1.1 "Services" means MetalMiner's self-serve subscriptions, products, APIs, connectors, hosted software, reports, analytics, dashboards, and related services that you access through a self-serve account, including Sage, Market Signal, the MetalMiner MCP Connector, MetalMiner Insights, and the Market Signal API.
1.2 "Content" means all data, price series, reports, forecasts, analyses, charts, indexes, signals, scenario outputs, and other materials MetalMiner makes available through the Services.
1.3 "Your Data" means the prompts, questions, instructions, uploaded files, configurations, and other data you submit to the Services.
1.4 "Output" means any response, summary, analysis, forecast, visualization, or other result the Services generate in response to Your Data or your queries.
1.5 "Credits" means the prepaid or trial usage units (MetalMiner Credits, "MMC") that meter your consumption of metered Services.
2. Your Account
2.1 Eligibility. You must be at least 18 years old and able to form a binding contract. You agree to provide accurate account information and to keep it current.
2.2 Account security. You are responsible for all activity under your account, credentials, tokens, and API keys, whether or not you authorized it. Keep your credentials confidential and notify us promptly at support@metalminer.com of any suspected unauthorized access or security incident.
2.3 One person per account. A self-serve account is for a single individual. Do not share your account, credentials, or API keys with others.
3. Plans, Credits, Fees, and Trials
3.1 Pay-per-use. Self-serve access is metered in Credits. Metered tools consume Credits at the rates shown in the product or documentation at the time of use. You are responsible for the Credit consumption of all activity under your account.
3.2 Trial Credits. We may grant trial Credits when you sign up. Trial Credits have no cash value, are non-transferable, and may expire or be modified at our discretion.
3.3 Fees and payment. Fees for Credits or paid plans are due as described at purchase. Except where required by law, all fees and Credit purchases are non-refundable, and Credits are non-cancelable once purchased.
3.4 Taxes. Fees are exclusive of taxes. You are responsible for any sales, use, VAT, or similar taxes, excluding taxes on MetalMiner's net income.
3.5 Insufficient Credits. If your balance is insufficient, metered requests may be refused until you add Credits. We may throttle or suspend access for non-payment as described in Section 10.
4. License Grant
4.1 Grant. Subject to your compliance with these Terms and payment of applicable fees, MetalMiner grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services, Content, and Output solely for your own internal business, sourcing, procurement, planning, research, and decision-support purposes.
4.2 Reservation. No rights are granted except as expressly stated. All rights not expressly granted are reserved by MetalMiner and its licensors.
5. Acceptable Use and Restrictions
You will not, and will not permit any third party or automated agent acting on your behalf to:
5.1 Redistribute. Sell, resell, license, sublicense, lease, distribute, publish, display, transfer, or otherwise make the Services, Content, or Output available to any third party.
5.2 Build a competing product. Use the Services, Content, or Output to develop, support, benchmark, populate, or contribute to any database, product, or service that competes with or substitutes for any MetalMiner metals, minerals, pricing, forecast, market-intelligence, or analytics offering.
5.3 Train AI/ML models. Use the Services, Content, or Output to train, fine-tune, ground, calibrate, validate, or otherwise develop or improve any artificial-intelligence system, machine-learning model, large language model, or derived commercial dataset, except under a separate written agreement signed by MetalMiner.
5.4 Extract system internals / adversarial prompting. Attempt to elicit, extract, or infer system instructions, proprietary prompts, retrieval or ranking logic, pricing or forecasting methodologies, source data, or other non-public aspects of the Services through prompt injection, jailbreaking, systematic querying, or similar techniques, whether manual or automated.
5.5 Extract raw data. Access, extract, reconstruct, or deliver raw underlying data points (including reconstructing an exact historical price series from insight or summary outputs) except to the limited extent your plan expressly permits raw-data access for a given commodity.
5.6 Scrape or harvest. Scrape, crawl, index, harvest, mine, or systematically retrieve data, prompts, responses, or metadata from the Services.
5.7 Reverse engineer. Reverse engineer, decompile, disassemble, or attempt to derive the source code, models, prompts, or underlying structure or algorithms of the Services.
5.8 Circumvent limits. Circumvent or attempt to circumvent any usage limits, rate limits, Credit metering, security controls, or technical measures of the Services.
5.9 Remove notices. Remove, alter, or obscure any copyright, trademark, attribution, disclaimer, or proprietary notice in the Services, Content, or Output.
5.10 Break the law. Use the Services in violation of any applicable law, regulation, export-control or sanctions law, or third-party right.
5.11 Rely without review. Use the Services, Content, or Output as the sole basis for any automated or material legal, financial, trading, sourcing, or procurement decision without appropriate human review.
5.12 Submit data you may not. Submit any data you do not have the legal right to provide, or any data prohibited under Section 7.
6. API and Connector Terms
If your plan includes API or connector access:
6.1 Backend-only. Call MetalMiner APIs only from systems you control. Do not expose API keys, tokens, or raw endpoints in browser code, public repositories, or public-facing client applications.
6.2 Display and internal use. Your right to use data returned by the Services is limited to display and your own internal business use.
6.3 Temporary caching only. You may temporarily cache API responses only as reasonably necessary for rendering and performance, not exceeding the shorter of fifteen (15) minutes or any period stated in the documentation.
6.4 No warehousing. Do not store, warehouse, persist, replicate, or build any independent dataset or repository from the Services, Content, or Output, except as expressly authorized in writing.
7. Your Data and Privacy
7.1 Your rights. As between you and MetalMiner, you retain your rights in Your Data, subject to the license below.
7.2 License to operate. You grant MetalMiner a non-exclusive, worldwide, royalty-free right to host, process, and use Your Data to operate, secure, and support the Services, generate Output, meter and bill usage, prevent abuse, comply with law, and improve the Services — provided we will not disclose Your Data as identifiable, account-specific information to other customers. We may use aggregated, de-identified usage and telemetry data to operate and improve our products.
7.3 No sensitive data. Do not submit classified information, export-controlled technical data, protected health information, payment-card data, government identifiers, or other highly sensitive or regulated data not reasonably necessary to use the Services.
7.4 Privacy Policy. Our handling of personal data is described in the Privacy Policy, which is incorporated into these Terms.
8. Service-Specific Notes
8.1 Sage. Sage is a conversational and analytical assistant that may use machine learning and third-party model providers. Sage Output is provided for informational and decision-support purposes only and is not legal, financial, trading, investment, tax, or other professional advice. Output may be incomplete, inaccurate, or synthetic; you are responsible for reviewing and validating it before relying on it. We may log prompts, uploads, and responses to provide, secure, support, and improve the Services.
8.2 Market Signal. Market Signal includes forecasts, directional indicators, estimated price ranges, and disruption scenarios that are inherently uncertain and not guaranteed. Historical performance does not guarantee future results. You are solely responsible for any decision you make based on Market Signal.
8.3 MCP Connector. Raw historical data is entitled per commodity based on your plan. Where you do not have raw access for a commodity, insight tools return rounded/approximate values rather than exact raw data — this is a feature, not an error.
8.4 Insights and Market Signal API. Access is subject to your plan, the applicable documentation, and Sections 5 and 6.
9. Intellectual Property
9.1 MetalMiner ownership. MetalMiner and its licensors own all right, title, and interest in and to the Services, Content, and all software, models, prompts, methods, and know-how used to provide them. As between the parties, MetalMiner owns all Output; subject to your compliance and payment, you receive a limited, non-exclusive, non-transferable license to use Output for your internal purposes.
9.2 Feedback. If you give us suggestions or feedback, you grant MetalMiner a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or obligation.
10. Suspension and Termination
10.1 By you. You may stop using the Services and close your account at any time by contacting support@metalminer.com.
10.2 By MetalMiner. We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay, exceed usage limits in a way that threatens the Services, create a security or abuse risk, or where required by law or a third-party provider.
10.3 Effect. On termination, your rights to access the Services end, you must stop using them and delete any cached or stored Content not expressly permitted to be retained, and the restrictions in Sections 5 and 6 survive. Fees and Credit purchases are non-refundable.
10.4 Survival. Sections 1, 5, 6, 7.2, 9, 11, 12, and 13 survive termination.
11. Disclaimers
THE SERVICES, CONTENT, OUTPUT, FORECASTS, ANALYSES, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, METALMINER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND COMPLETENESS. METALMINER DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, THAT ANY CONTENT OR OUTPUT WILL BE ACCURATE OR COMPLETE, OR THAT ANY FORECAST OR SCENARIO WILL OCCUR.
12. Limitation of Liability
12.1 No indirect damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, METALMINER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.
12.2 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, METALMINER'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID METALMINER IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12.3 Exceptions. These limits do not apply to your unpaid fees, your breach of Sections 5 or 6, your infringement of MetalMiner's intellectual property, or your indemnification obligations, and do not limit liability that cannot be limited under applicable law.
12.4 Your indemnity. You will defend and indemnify MetalMiner and its affiliates from third-party claims arising out of Your Data, your use of the Services in breach of these Terms, your violation of law or third-party rights, or your use of the Services to train AI models or build a competing product.
13. General
13.1 Governing law. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The state and federal courts located in Delaware have exclusive jurisdiction, and you consent to that venue.
13.2 Changes to the Terms or Services. We may update these Terms or the Services from time to time. If we make a material change to these Terms, we will provide notice (for example, by email or in-product). Your continued use after the change takes effect constitutes acceptance. We record the version of the Terms you accepted at signup.
13.3 Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
13.4 Notices. Legal notices to MetalMiner should be sent to support@metalminer.com. We may send notices to you at the email associated with your account.
13.5 Entire agreement; severability; no waiver. These Terms and the Privacy Policy are the entire agreement between you and MetalMiner for self-serve use and supersede prior agreements on that subject. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
